
Application-to-Person (A2P) Compliance Terms and Conditions

These A2P Compliance Terms and Conditions (“Terms”) govern the use of application-to-person (A2P) messaging services provided by Yellow Mountain Business Solutions LLC (“YMBS”, “we”, “us”, or “our”) to clients and partners (“Client”, “you”). By using our services, you agree to be bound by these Terms.
🔍 Definitions
A2P Messaging
Messages sent from an application to an individual, including notifications, alerts, promotional messages, and similar communications.
Recipient
An individual who receives an A2P message from the Client via YMBS services.
✅ Client Responsibilities
1. Consent
You must obtain and retain clear, explicit consent from each Recipient prior to sending A2P messages. This includes initial consent and any opt-in confirmations as required by law.
2. Compliance with Laws
You agree to fully comply with all applicable laws, regulations, and carrier guidelines, including but not limited to:
TCPA (Telephone Consumer Protection Act)
CAN-SPAM Act
GDPR (General Data Protection Regulation)
CTIA and mobile carrier codes of conduct
3. Content Accountability
You are solely responsible for the legality, accuracy, and appropriateness of all content sent via our platform. YMBS does not review message content for compliance.
4. Opt-Out Mechanism
All messages must clearly identify the sender and include an easy, accessible method for Recipients to opt out of future communications.
5. Data Privacy
You are responsible for safeguarding Recipient data and ensuring compliance with relevant data protection and privacy laws.
🛠️ YMBS Responsibilities
1. Service Standards
We provide A2P messaging infrastructure that aligns with industry standards and regulatory requirements.
2. Support & Guidance
YMBS may offer reasonable technical and compliance assistance at its discretion.
3. Monitoring & Enforcement
We reserve the right to monitor usage and content for compliance. If we detect violations of these Terms or applicable laws, we may immediately suspend or terminate your access to our services.
4. Limitation of Liability
YMBS shall not be liable for damages, penalties, or legal claims arising from your misuse or non-compliance. You agree to indemnify and hold YMBS harmless from any third-party claims related to your messaging activities.
🔄 Amendments
YMBS reserves the right to update these Terms at any time. Material changes will be communicated with reasonable notice. Continued use of our services after changes take effect signifies your acceptance of the revised Terms.
❌ Termination
YMBS may suspend or terminate services at any time for breach of these Terms. Either party may terminate the agreement with written notice. Termination does not waive your obligations incurred prior to the termination date.
⚖️ Governing Law
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law provisions.
